GENERAL TERMS AND CONDITIONS

  1. Scope
    1.1 These General Terms and Conditions apply to all services provided by Origanius BV, with company number BE 0728.749.815, whose registered office is located at Ter Beke 12, 8930 Menen, represented by Piet Verhoeve in his capacity as managing director.
    1.2 These General Terms and Conditions apply to all services provided by Origanius, including but not limited to keynotes, workshops, training, mentoring, and strategic consulting.
    1.3 These terms and conditions take precedence over any conflicting terms of the client unless explicitly agreed otherwise in writing by Origanius.
    1.4 By engaging Origanius, the client agrees to these terms and conditions unless explicitly agreed otherwise in writing.

  2. Engagement Terms
    2.1 Origanius provides services on a best-effort basis and does not guarantee specific outcomes.
    2.2 The client shall provide all necessary information and cooperation required for the execution of the services.
    2.3 If the client does not provide necessary cooperation, Origanius reserves the right to suspend or terminate services without liability.
    2.4 Services may be provided in-person, online, or through blended formats as agreed with the client.

  3. Pricing and Payment
    3.1 Prices for services are outlined in proposals, contracts, or official communications. All prices are exclusive of VAT unless stated otherwise.
    3.2 Payment terms shall be specified in the invoice. Unless otherwise agreed, payments must be made within 15 days of the invoice date.
    3.3 Late payments may incur interest charges in accordance with applicable laws. Additionally, overdue payments may result in administrative fees, and any legal costs associated with debt recovery will be charged to the client. A late fee of 1.5% per month and a penalty fee of 10% of the overdue amount (minimum €60) may apply.
    3.4 If an invoice remains unpaid, Origanius reserves the right to suspend all ongoing services for the client until payment is received or, in severe cases, terminate the agreement entirely. Origanius is not liable for any damage caused by such suspensions or terminations.
    3.5 Participation in any training organized by Origanius is only permitted if the full invoice has been settled before the start of the training. Origanius reserves the right to deny access to participants whose invoices remain unpaid.
    3.6 If a client cancels a confirmed service, the following cancellation fees apply:
    - More than 30 days before the service: No fee.
    - 15 to 30 days before the service: 50% of the total fee.
    - Less than 15 days before the service: 100% of the total fee.
  1. Rescheduling and Cancellations
    4.1 Individual Training Rescheduling: Clients may reschedule an individual training or mentoring session once without penalty, provided a written request is submitted at least 7 days before the scheduled date. Further rescheduling or cancellations will result in forfeiture of the session without refund.
    4.2 Group Training Rescheduling: Date changes for group training can only be made by Origanius, for example, in cases of illness of the trainer or if there are too few participants. This will be communicated directly to registered participants. If a participant is unable to attend, they may shift their registration once to a new date where the same training is scheduled, limited to a maximum of 12 months in the future, provided there is a valid reason and the participant notifies Origanius at least 7 working days in advance.

  2. Intellectual Property
    5.1 All training materials, methodologies, and tools developed by Origanius remain the property of Origanius unless explicitly transferred in writing.
    5.2 Clients may use materials provided during training and consulting engagements for internal purposes but may not distribute or commercialize them without prior written consent.
    5.3 Online training access credentials are personal and must not be shared. Unauthorized sharing may result in account suspension and a penalty fee of 50% of the training cost.
    5.4 If a participant is found to have shared their login credentials with a non-registered individual, Origanius reserves the right to charge the client a penalty fee equal to 50% of the total course fee and revoke access to the course without refund.

  3. Liability and Warranties
    6.1 Origanius will exercise reasonable skill and care in the execution of services but does not accept liability for decisions made by the client based on the advice, training, or consulting received.
    6.2 Origanius shall not be liable for indirect or consequential damages, including but not limited to loss of profits, business interruption, or reputational harm.
    6.3 Any liability of Origanius is limited to the amount paid by the client for the specific service that led to the claim, with a maximum liability cap of €7,500 per case.
    6.4 Clients are responsible for ensuring that their own IT systems are protected. Origanius is not liable for any IT-related damages, including but not limited to email security risks, viruses, or system failures arising from interactions with Origanius' digital services.

  4. Attendance, Participation, and Admission Rights
    7.1 Clients enrolled in group training programs must attend at least 70% of sessions to receive a certificate or acknowledgment of completion.
    7.2 If a client repeatedly disrupts sessions or behaves in a manner detrimental to the group, Origanius reserves the right to exclude the participant without refund.
    7.3 Clients participating in training, mentoring, or workshops are expected to actively engage and adhere to professional conduct standards.
    7.4 Origanius reserves the right to refuse participation in any training, workshop, or program at its sole discretion. This may include, but is not limited to, cases where the participant does not meet the necessary prerequisites, has a history of disruptive behavior, or if Origanius determines that their participation is not aligned with the objectives of the training. Any such decision will be communicated to the participant or client in a timely manner.

  5. Confidentiality, Data Protection, and GDPR Compliance
    8.1 Both Origanius and the client shall treat all information exchanged during the engagement as confidential unless such information is publicly available or required by law to be disclosed.
    8.2 For strategic advice services or dedicated project workshops, a specific Non-Disclosure Agreement (NDA) can be negotiated if required by the client.
    8.3 Origanius complies with the General Data Protection Regulation (GDPR) and all applicable data protection laws. Personal data collected during engagements will be processed lawfully, fairly, and transparently, ensuring confidentiality and security. Clients have the right to access, rectify, and request deletion of their personal data in accordance with GDPR provisions.

  6. Dispute Resolution
    9.1 Clients must submit any complaints in writing within 8 days of the issue arising. Complaints should be addressed to [email protected] and must detail the nature of the complaint.
    9.2 Origanius will review complaints and respond within a reasonable timeframe. If a resolution cannot be reached amicably, the dispute shall be settled under the jurisdiction of the courts of Belgium, with the competent court being the Commercial Court of Kortrijk, unless otherwise agreed.

  7. Miscellaneous
    10.1 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
    10.2 Origanius reserves the right to update these terms and conditions. The latest version shall be available on the company’s website.
